ASHBOURNE MEMBERSHIP MANAGEMENT LTD TERMS AND CONDITIONS<\/p>\n\n\n\n
1. Nature of the Agreement<\/strong><\/p>\n\n\n\n If you sign this agreement, you will become a member of the club that is referred to above. This agreement sets out the terms that will govern the relationship between us, the owners of the club that is referred to overleaf, and you, a member of the club. We have appointed Ashbourne Management Services Ltd (“Ashbourne”) to act on our behalf in all respects before the inception of this agreement, during the course of this agreement and after the termination of this agreement; including, in particular, entering into this agreement on our behalf and in all respects relating to the recovery of any sums that may be due from you to us. Any payment made by you to it pursuant to this agreement is received on our behalf. It may recover any sums that may be due from you to us in its own name. It is authorised to accept service on our behalf.<\/p>\n\n\n\n 2. The Minimum Membership Period<\/strong><\/p>\n\n\n\n You have chosen the “Minimum Membership Period” referred to on the previous page.<\/p>\n\n\n\n YOU MUST PAY THE MONTHLY MEMBERSHIP SUBSCRIPTION FOR THE MINIMUM MEMBERSHIP PERIOD UNLESS YOUR MEMBERSHIP IS TERMINATED WITHOUT LIABILITY, SUSPENDED OR TRANSFERRED AS SET OUT BELOW.<\/p>\n\n\n\n Your right to terminate this agreement without liability is set out in clause 5. In particular, you may terminate this agreement at any time if the facilities or the services we provide fall well below the standard that you reasonably expect us to provide.<\/p>\n\n\n\n Your right to suspend this agreement.<\/p>\n\n\n\n We will suspend your membership during the Minimum Membership Period if and when you provide written confirmation that (a) you, your spouse or your partner (if living at the same address) has begun to claim income support or (b) you provide a letter from your GP to prove that you (i) have been advised not to use the club for a medical reason (ii) are pregnant or (iii) gave birth in the last 3 months. We will review your circumstances every 2 months. If your circumstances have not changed, we will suspend your membership for a further 2 months, unless you tell us that you would prefer to cancel your membership which you may do without any further obligation on your part.<\/p>\n\n\n\n Whilst your membership is suspended, you will be relieved of your obligation to pay your monthly membership subscription and we will be relieved of our obligation to allow you to use the facilities at the club. The period of suspension will not count as part of the Minimum Membership Period.<\/p>\n\n\n\n Your right to cancel this agreement.<\/p>\n\n\n\n We will cancel your membership during the minimum membership period without any further obligation on your part if you are not reasonably able to access the club in the following circumstances. You must either (a) provide a letter from your doctor to prove that you have been advised not to use the club for the foreseeable future for a medical reason; or (b) provide written confirmation (e.g. a letter from your employer) to prove that the location of your main place of work has changed and is more than 15 miles from the club; or (c) you provide written confirmation (e.g. utility bills) to prove that you have moved more than 15 miles from the club. <\/p>\n\n\n\n Your right to transfer this agreement.<\/p>\n\n\n\n We will transfer your membership to another person (provided they do not have an existing relationship with the club) during the minimum membership period if (a) he or she agrees to become a member for the remainder of the minimum membership period; (b) he or she agrees to pay an induction fee of \u20ac25 and; (c) he or she is introduced to us by you.<\/p>\n\n\n\n What happens if I fall into arrears with my membership subscriptions during the Minimum Membership Period?<\/p>\n\n\n\n We will be relieved of our obligation to allow you to use the facilities at the club if (i) any payment is more than 7 days overdue and (ii) you have not come to an agreement with Ashbourne to make supplementary payments in addition to your membership subscription to repay the arrears within a reasonable period.<\/p>\n\n\n\n Unless we have exercised our right to terminate this agreement, your monthly membership subscriptions will continue to fall due throughout the Minimum Membership Period even though you may not be entitled to use the facilities at the club.<\/p>\n\n\n\n If you become liable to pay a membership subscription or other sums during the Minimum Membership Period that relates to a period during which you were not allowed to use the facilities at the club following the termination of your membership, we will grant you free use of the facilities for an equivalent period after the minimum membership period has ended provided (i) you pay the membership subscription for the earlier period or the sum due in respect thereof and (ii) we have not in the meantime terminated your membership on the grounds of your behaviour in accordance with clause 5.<\/p>\n\n\n\n What happens at the end of the Minimum Membership Period?<\/p>\n\n\n\n Your membership will automatically be extended once the Minimum Membership Period has ended for consecutive one month periods unless this agreement has been terminated or cancelled. If there is a change in the monthly subscription you will be notified in advance and have the right to cancel your membership in accordance with clause 3.<\/p>\n\n\n\n What happens if I want to bring my membership to an end after the Minimum Membership Period has ended?<\/p>\n\n\n\n You may cancel your membership without further obligation on your part provided you give us at least 1 month prior notice of your intention to do so.<\/p>\n\n\n\n 3. Cancellation<\/strong><\/p>\n\n\n\n Either party may cancel your membership (a) at the end of the Minimum Membership Period by giving at least 1 month prior notice or (b) at any time thereafter by giving at least 1 month prior notice.<\/p>\n\n\n\n If we decide to change your monthly subscription after the Minimum Membership Period we will inform you at least one month before any increase comes into effect. You have the right to terminate your membership if you do not agree the new monthly subscription. If you do not terminate your membership, the new monthly subscription will become payable from the date stated on the notification, which will be at least 1 month after such notification.<\/p>\n\n\n\n 4. Payment<\/strong><\/p>\n\n\n\n The initial payment specified on the previous page and all subsequent membership subscriptions must be paid in full to Ashbourne. All subsequent membership subscriptions are payable at the beginning of the month to which they relate. <\/p>\n\n\n\n Please note that additional charges may be required for certain services (e.g. sauna, massages, physiotherapy etc.).<\/p>\n\n\n\n If you fail to make a payment, Ashbourne is authorised to act on our behalf in all respects relating to the recovery of any sums due from you and may recover the same in its own name. If the failure to pay is without good cause, and is not intended as notice of termination under clause 5 below, Ashbourne is entitled to, and may charge you a \u20ac10 administration fee for dealing with the consequences of each default, which is a reasonable estimate of the administration costs which Ashbourne will incur. If charged, this sum will be added to your account\/ the next payment to be made.<\/p>\n\n\n\n 5. Termination<\/strong><\/p>\n\n\n\n This agreement may be terminated (a) in the circumstances set out below or (b) by either party at any time in response to any other serious breach of the other party’s obligations under this agreement.<\/p>\n\n\n\n Termination for our fault<\/p>\n\n\n\n You may terminate this agreement in accordance with clause 9 below at any time if the facilities or the services we provide fall well below the standard that you reasonably expect us to provide.<\/p>\n\n\n\n Termination where you fail to pay <\/p>\n\n\n\n If any payment due from you remains unpaid for a period of three months or longer, we or Ashbourne may serve a final warning notice on you in respect of any outstanding sums due. If, after the expiry of a period of one month from the date of receipt of that final warning upon you, any sum which the final warning required you to pay has not been paid, then this will be treated as a repudiation of your obligations under this agreement and we may terminate the agreement. We will assume that the notice has reached you 2 working days after it is sent by first class post or, if sent by email before 4pm, on that day.<\/p>\n\n\n\n Termination for your fault<\/p>\n\n\n\n We may terminate this agreement at any time if (a) your treatment of another club member or a member of the club\u2019s staff falls well below the standard of consideration that we reasonably expect and (b) having been asked to remedy your conduct you fail to do so within 7 days of the receipt of a written warning; or having been asked to remedy your conduct you do the same thing again within 6 months of the receipt of a written warning.<\/p>\n\n\n\n Effect of termination by us during the minimum membership period under this clause<\/p>\n\n\n\n If we terminate this agreement during the minimum membership period (except where it is for our fault), you will become immediately liable to pay (i) the arrears, if any, plus (ii) the monthly membership subscriptions, if any, that would otherwise have fallen due before the end of the minimum membership period less credit for accelerated receipt in respect of payments falling due after the actual date of termination.<\/p>\n\n\n\n This credit shall be calculated at 4% above the Official Bank Rate published by the Bank of England at the date of termination per annum, from the mid-point between the date of termination and the date when the final monthly membership subscription would otherwise have fallen due. For example, if we terminate the agreement on 31st July 2014, and the final monthly membership payment would otherwise have fallen due on 31st January 2015, the mid-point between those dates is 30th October 2014. The credit which will be allowed for accelerated receipt will be calculated at 4% per annum over the Official Bank Rate on all the payments which would have fallen due after 31st July 2014, from 30th October 2014 to 31st January 2015.<\/p>\n\n\n\n 6. Your Responsibilities<\/strong><\/p>\n\n\n\n You must treat all club members and staff with the consideration that you would reasonably expect them to show to you. In particular, you must not make remarks that are rude or offensive or behave in a manner that is dishonest, aggressive or indecent.<\/p>\n\n\n\n You confirm that the information that you provide to us (and to Ashbourne) on the previous form or subsequently is accurate. If any of the relevant information changes you agree to notify us (or Ashbourne) of any significant changes e.g. as to your name, address and account details as soon as practicable and in any event before the next monthly payment falls due.<\/p>\n\n\n\n 7. Your Rights<\/strong><\/p>\n\n\n\n We will be liable to compensate you if you suffer a personal injury or die as a result of our negligence. We will compensate you if you suffer any other loss as a result of our failure to carry out our obligations under this agreement, provided that (a) our failure did not occur as a result of your own fault or (b) our breach could not have been avoided even if we or those acting on our behalf had taken reasonable care. Nothing in these terms will affect your statutory rights. If you need further information about your statutory rights contact a Citizen\u2019s Advice Bureau.<\/p>\n\n\n\n 7A. Transfer of rights under the agreement<\/p>\n\n\n\n In the circumstances set out in clause 2 above, you may transfer your membership under this agreement to another person within the Minimum Membership Period, but not after the Minimum Membership Period.<\/p>\n\n\n\n We reserve the right to transfer our rights and obligations under this agreement to a third party, where that person takes over the ownership and control of the club.<\/p>\n\n\n\n 8. Data Protection<\/strong><\/p>\n\n\n\n When we speak of personal information we mean “personal data” in the sense defined in the Data Protection Act 2018 (or its replacement) and (so long as it remains law in the United Kingdom or in any other relevant jurisdiction) the EU General Data Protection Regulation 2016\/679 (“GDPR”) (the “Relevant Law”)<\/p>\n\n\n\n As a member of the club we will necessarily process your personal data and we will do so in a manner compatible with the Relevant Law.<\/p>\n\n\n\n In our privacy statement which is available at www.ashbourne-memberships.co.uk we set out in a comprehensive manner:-<\/p>\n\n\n\n \u2022 The personal information we collect about you<\/p>\n\n\n\n \u2022 How that information is collected<\/p>\n\n\n\n \u2022 How and why we use your personal information<\/p>\n\n\n\n \u2022 Who we share you personal information with<\/p>\n\n\n\n \u2022 Where your personal information is held<\/p>\n\n\n\n \u2022 How long your personal information will be kept<\/p>\n\n\n\n \u2022 What your rights are in connection with our processing your personal information<\/p>\n\n\n\n \u2022 What we do to keep your personal information secure<\/p>\n\n\n\n Biometric information<\/p>\n\n\n\n In particular we draw to your attention that we may use fingerprint scanners for security purposes or to control entry to our premises or for the provision of other services. If you agree to the collection of your fingerprint (or data points from it), then you will be able to access the premises or other services using this method. You have the right to refuse to provide your fingerprint for these purposes. If you refuse you will have to provide another adequate method of identification in order to secure entry to the club.<\/p>\n\n\n\n Your fingerprint will be stored securely by us and we will not share it with anyone else, including Ashbourne, except if the ownership or control of the club is transferred. On termination of your membership your biometric information, i.e. your fingerprint will be deleted from our systems within 3 months.<\/p>\n\n\n\n How to complain<\/p>\n\n\n\n We hope that our Data Protection Officer can resolve any query or concern you may raise about our use of your information.<\/p>\n\n\n\n The General Data Protection Regulation also gives you right to lodge a complaint with a supervisory authority, in particular in the European Union (or European Economic Area) state where you work, normally live or where any alleged infringement of data protection laws occurred. Notices<\/strong><\/p>\n\n\n\n General notices<\/strong><\/p>\n\n\n\n We recommend that you notify Ashbourne at the above address or such other address that it provides to you in writing. However, you may notify us at the club if you wish. We or Ashbourne may notify you at the address given on the previous page or such other address that you provide to us or Ashbourne in writing.<\/p>\n\n\n\n How to provide notice of termination<\/p>\n\n\n\n We would prefer written notice of termination to be sent to us or to Ashbourne, by email or by letter. However, you can also communicate your decision to terminate to us by speaking to our staff, or by cancelling your direct debit mandate, which we and Ashbourne will treat as notice from you that you are terminating this agreement. <\/p>\n\n\n\n ULTRAFLEX ATHENS \u2013 HEALTH DECLARATION<\/strong><\/p>\n\n\n\n I have been informed by the management of the gym Ultraflex – Panthe9n that in order to train within the premises and to register as a member, I am required to submit a medical certificate regarding my physical condition, health, and capacity to exercise. I hereby declare responsibly that I have no health issues, and that due to my own fault, I am not submitting the aforementioned medical document today. I explicitly and unreservedly undertake to submit it to the reception of the Ultraflex – Panthe9n gym no later than ten (10) calendar days from today; otherwise, the aforementioned gym reserves the right to deny me access to its facilities and to retain the amount paid by me until the medical certificate is provided. Finally, I declare that I have decided to use the gym\u2019s services until I receive the medical certificate, at my own exclusive responsibility and fault.<\/p>\n\n\n\n ULTRAFLEX ATHENS TERMS OF USE – SERVICE PROVISION AGREEMENT<\/strong><\/p>\n\n\n\n Visitors and members of the ULTRAFLEX Gym are kindly requested to carefully read the terms of use below, which also constitute the terms of the service provision agreement between the parties. The present terms of use regulate the rights and obligations concerning the use of the website located at the electronic address www.ultraflexgym.gr, as well as regarding the agreement for the provision of services concluded through the user\u2019s registration as a member. The gym\u2019s website, hereinafter referred to as \u201cULTRAFLEX,\u201d was designed, developed, and belongs to the Private Capital Company named \u201cULTRAFLEX PRIVATE CAPITAL COMPANY,\u201d which will hereinafter be referred to for brevity as \u201cCompany\u201d or as \u201cGym.\u201d<\/p>\n\n\n\n In case you require any information or clarification, please contact us BEFORE your registration and the acceptance and\/or digital signature of this document. The Member wishes to register and use these services in accordance with the terms and conditions described in this agreement, in exchange for the agreed payment, as it is applicable and according to the Gym’s price lists. “Gym” refers to the legally licensed and operating gym located in Peristeri, Attica, at Ethnarchou Makariou Street, No. 16, and “Member” refers to any natural person with whom the gym has entered into a service provision agreement through their registration on the Gym’s website and payment of the membership fee.<\/p>\n\n\n\n 2. Binding Nature of Terms of Use<\/strong><\/p>\n\n\n\n Acceptance of these terms of use is deemed to be made upon the visitor\/user’s entry into the ULTRAFLEX website. This acceptance consists of the explicit, unconditional, and irrevocable agreement of the visitor\/user to comply with these terms. In case of disagreement with any of the terms, the user\/visitor must stop and avoid browsing the ULTRAFLEX website, delete their account as a gym member, and refrain from purchasing a membership, notifying the administrator if they wish to do so.<\/p>\n\n\n\n 3. Membership Registration<\/strong><\/p>\n\n\n\n By accepting these terms, completing the required personal information, and paying the fee, the user\u2019s registration as a member of the gym is completed, along with the mutual acceptance by both parties of all terms described herein. In order to complete the user\u2019s registration as a member, it is required to fill in their personal details, namely: 1. Full name, 2. Date of birth, 3. Complete residential address (street, number, city, postal code), 4. Contact telephone numbers (landline\/mobile), 5. Email address, 6. Tax Identification Number, 7. Identification Card or Passport details, 8. Medical certificate from a cardiologist or internist confirming the member\u2019s ability to exercise, as well as a medical certificate from a gynecologist in the case of a pregnant individual wishing to register as a member. The registration of a minor as a member, as well as the renewal and transfer of their membership, can only be conducted by the person exercising parental responsibility, who signs this agreement on behalf of the minor. It is strictly prohibited for any individual under the age of sixteen (16) to register or participate in any form of training. This restriction applies without exception and is binding for all users and legal guardians. The member is obliged to promptly inform the gym in case of any change to any of the above personal details. Each member is required to present a medical certificate from an Internist or Cardiologist upon registration, confirming their ability to exercise. A corresponding certificate must be presented every twelve (12) months. For pregnant individuals, an additional medical certificate from their gynecologist is required, confirming their ability to engage in sports. If the member does not possess the aforementioned certificates at registration, they are required to complete a relevant Responsible Declaration. In any case, the member exercises at their own exclusive responsibility and is obliged to present the aforementioned medical certificates within ten (10) days of their registration. In case of failure to present these, the gym reserves the right to deny the member entry and withhold any payment made until such certificates are provided, while simultaneously waiving any liability for any physical injury that may occur to the member during their presence in the gym premises. Furthermore, by this agreement, the member explicitly and unreservedly declares that they are in good physical condition, enjoying good health, and exercising at their own exclusive responsibility. After the user completes the above information, the type of membership is selected, determining the total fee and the method of payment. Upon the member’s arrival at the gym, a photo will additionally be taken, and the member’s fingerprint will be collected in order to gain access each time to the training area by passing through the gym’s entry gates (barriers). The photo and fingerprint are necessary for entry to the gym and for maintaining the safety conditions set by our Company to protect the gym and our members. The fingerprint is linked to the member’s account, their details, and their membership. In case of non-payment or non-renewal of the membership, entry to the gym will not be permitted.<\/p>\n\n\n\n 4. \u03a0\u03b1\u03c1\u03b5\u03c7\u03cc\u03bc\u03b5\u03bd\u03b5\u03c2 \u03a5\u03c0\u03b7\u03c1\u03b5\u03c3\u03af\u03b5\u03c2<\/strong><\/p>\n\n\n\n ULTRAFLEX agrees to grant the Member access to the gym\u2019s facilities and equipment, supervision by a trainer, use of other available facilities and amenities of the gym (such as changing rooms and posing room). Additionally, within the gym premises, there may be access to further services and amenities, the purchase of which is not included herein, such as access to rehabilitation and health services (e.g., massage, physiotherapy, etc.), provided by the gym, or access to nutrition and dietetics services, at an additional charge.<\/p>\n\n\n\n 5. Membership<\/strong><\/p>\n\n\n\n The member may choose from the following subscription options: daily, weekly, monthly, six-month, and annual, subject to the specific terms outlined in the gym\u2019s price list. Furthermore, the provision of individual sessions or session packages is available. The terms and conditions applicable to sessions or session packages are detailed in the gym\u2019s price list. The cost of each subscription, individual session, or session package, along with any applicable discounts, is specified in the gym\u2019s price list, which is provided to the Member upon notification. The fee for a trial workout is EUR seventeen (17.00\u20ac). Payment may be made at the gym premises either in cash or via credit\/debit card. By paying the applicable fee, the Member explicitly and unreservedly accepts all terms of this agreement and considers the fee to be fair, reasonable, and proportionate to the services provided, waiving any rights to dispute, modify, or reduce it.<\/p>\n\n\n\n 6. \u0394\u03b9\u03ba\u03b1\u03b9\u03ce\u03bc\u03b1\u03c4\u03b1 \u03ba\u03b1\u03b9 \u03a5\u03c0\u03bf\u03c7\u03c1\u03b5\u03ce\u03c3\u03b5\u03b9\u03c2 \u0393\u03c5\u03bc\u03bd\u03b1\u03c3\u03c4\u03b7\u03c1\u03af\u03bf\u03c5<\/strong><\/p>\n\n\n\n The Gym undertakes to provide the agreed services in accordance with the terms of this agreement. The Gym reserves the right to modify operating hours or to offer new or different services based on its needs and the availability of its staff and facilities. The Gym also reserves the right to suspend or restrict the use of its facilities, equipment, and services for maintenance or necessary repairs, provided that prior notice is given to the Member. Any individual program may be altered without prior notice. The Gym may replace trainers conducting programs, and the selection of its personnel is solely at the discretion of the company.<\/p>\n\n\n\n 7. Member\u2019s Obligations<\/strong><\/p>\n\n\n\n The Member is obliged to pay the agreed amount for registration and the subscribed membership plan in accordance with the gym\u2019s price list. The Member must adhere to the gym\u2019s regulations and follow instructions from trainers and other staff members. The Member assumes full responsibility for the safe and appropriate use of the gym\u2019s equipment and facilities. The Member agrees to provide accurate and valid personal information, including health status, prior to utilizing the gym\u2019s services. The Member acknowledges the nature of the services provided by the Gym, its commercial policy, and expressly and unconditionally consents to the extensive photographing, video recording, and posting of material from the gym premises on the internet and social media platforms.<\/p>\n\n\n\n 8. Terms of Contract Execution<\/strong><\/p>\n\n\n\n The commencement of this contract\u2019s execution is deemed effective upon the user\u2019s acceptance of its terms. The agreed services are provided exclusively to users and Members and not to third parties, in accordance with the terms herein. The training services are provided during the gym\u2019s operating days and hours, according to its schedule, which is communicated to the Member prior to signing this agreement and is also posted at the gym\u2019s reception and its official website. The gym reserves the right to modify its schedule without prior notice, particularly in cases of public holidays or force majeure.<\/p>\n\n\n\n 9. \u0395\u03c5\u03b8\u03cd\u03bd\u03b7 \u03ba\u03b1\u03b9 \u0391\u03c3\u03c6\u03ac\u03bb\u03b5\u03b9\u03b1<\/strong><\/p>\n\n\n\n The Gym bears no liability for injuries or damages that may result from negligence or improper use of the facilities or equipment by the Member. The Member assumes full responsibility for their health condition and for the use of the gym\u2019s services and equipment. Furthermore, the Gym is not liable for injuries or damages arising from improper or excessive exercise, negligent use of equipment, or the Member\u2019s negligence during their presence on the premises. The Member is responsible for adhering to trainer instructions and assessing their physical capabilities before engaging in any activity or program. Should the Member have any doubts regarding the suitability of a particular exercise or program, they must consult the gym\u2019s staff or their physician.<\/p>\n\n\n\n 10. Liability for Loss or Damage of Personal Items <\/strong><\/p>\n\n\n\n The Gym shall bear no liability for the loss, damage, or theft of the Member\u2019s personal items during their presence on the premises. It is recommended that the Member store personal belongings in secure locations (e.g., lockers with their own keys, padlocks, etc.) and avoid carrying valuable items unnecessarily into the gym. The Gym undertakes all reasonable efforts to ensure the safety of its facilities but shall not be held responsible for incidents involving the loss or damage of personal belongings.<\/p>\n\n\n\n 11. Safety, Hygiene, and Conduct Rules <\/strong><\/p>\n\n\n\n Members\u2019 behavior and presence within the gym premises must always be proper and respectful. Members shall use all exercise equipment and gym facilities with caution and at their own responsibility, always following the instructions of the trainers. Returning equipment (dumbbells, plates, mats, etc.) to its designated place is mandatory for all members. The gym reserves the right, after two (2) polite reminders regarding non-compliance with the obligation to reposition the weights, to temporarily suspend the member for a period of three (3) days. In the event of a third violation, the gym has the right to suspend the member for a period of six (6) months. In the aforementioned cases, the gym has no obligation to refund any balance of the membership fee or to extend the subscription period. Use of lockers is permitted only during the time members are present in the gym; it is strictly prohibited to retain belongings in lockers after leaving the premises. After the gym\u2019s daily operations end, the gym may, without prior notice, unlock and empty all lockers in the changing rooms, excluding any liability for loss of items. The use or trafficking of illegal substances within the gym is strictly prohibited. The trafficking of dietary supplements within the gym is also strictly prohibited. Any creation of noise or disturbance to other members is forbidden. Members are responsible for maintaining personal hygiene during their stay and must change clothes after intense sweating. The use of towels is mandatory on all equipment with physical contact. Wearing sports attire and clean athletic footwear is compulsory. The gym is not liable for the loss of money or personal belongings of members from the gym areas or lockers. The gym does not provide personal belongings safekeeping services, nor is such service offered by the reception staff. Entry is strictly forbidden for minors under the age of 13, whether accompanied or not, into the adult workout areas. The gym does not provide safekeeping or accompaniment services for children.<\/p>\n\n\n\n 12. Suspension of Membership \u2013 Transferability <\/strong><\/p>\n\n\n\n The right to suspend, meaning to cease using the gym services with a corresponding halt of the membership\u2019s validity period, applies exclusively to annual membership packages and may last up to one (1) month, upon mutual agreement between the parties. Such suspension is granted at the sole discretion of the Gym, solely for serious reasons demonstrating the Member\u2019s inability to use the services, which must be substantiated in writing. The suspension applies only to Members who purchased or renewed their membership at the initial price, as specified in the gym\u2019s price list. The Member\u2019s membership automatically resumes from the day following the last day of the period during which the Member\u2019s inability to use the services is certified. No right to suspend exists for Members who register or renew their membership at a special promotional rate. If you wish to transfer your membership, we will transfer your membership to another person (provided they do not have an existing relationship with the club) during the minimum membership period if (a) he or she agrees to become a member for the remainder of the minimum membership period; (b) he or she agrees to pay an induction fee of \u20ac25 and; (c) he or she is introduced to us by you.<\/p>\n\n\n\n 13. Termination of the Service Provision Contract <\/strong><\/p>\n\n\n\n The service provision agreement between the Member and the Company shall terminate: (a) upon the expiration of the Member\u2019s subscription period; (b) by mutual consent of the Parties; or (c) through exercising rights of withdrawal or termination.<\/p>\n\n\n\n 14. \u0394\u03b9\u03ba\u03b1\u03af\u03c9\u03bc\u03b1 \u03c5\u03c0\u03b1\u03bd\u03b1\u03c7\u03ce\u03c1\u03b7\u03c3\u03b7\u03c2 \u03c4\u03bf\u03c5 \u03bc\u03ad\u03bb\u03bf\u03c5\u03c2 <\/strong><\/p>\n\n\n\n The Member has the right to withdraw within fifteen (15) days from the day following the acceptance and\/or digital signature of this agreement. The exercise of this right shall be effected by submitting a written notice of withdrawal addressed to the Gym. The withdrawal shall result in the termination of this agreement from the date the Gym receives the notice, confirmed by receipt. Should the Member exercise the right of withdrawal as stipulated herein, they are obliged to pay only for the services provided up to the date of exercising this right. If the Member wishes to terminate his\/her subscription after fifteen (15) days from the day following the acceptance and\/or digital signature of this agreement, is obliged to give at least one (1) month prior notice and it is not entitled to a refund under any circumstances.<\/p>\n\n\n\n 15. Termination of the Contract by the Gym <\/strong><\/p>\n\n\n\n The Gym reserves the right, in the event of a breach of any of the terms of this agreement, all of which are deemed essential, or in cases of violation by the Member of the gym\u2019s regulations, non-payment of owed amounts, force majeure, or other unforeseen and extraordinary circumstances, to unilaterally and without liability terminate this agreement at any time. The gym has under no circumstances, unless expressly agreed otherwise, to refund any membership fee.<\/p>\n\n\n\n 16. Payments for Ultraflex Services <\/strong><\/p>\n\n\n\n When engaging in a transaction with the Gym for the purchase of a membership, such transaction is conducted either via deposit into one of the bank accounts maintained by the Gym or through the secure platform Ashbourne, which terms and conditions apply to any transaction carried out through the Ashbourne platform. The Gym accepts membership purchases either in cash or via debit and\/or credit card. If the card transaction is not accepted for any reason, you should contact the issuing financial institution. The legal proof of each transaction is issued based on the information you have provided, for which you bear exclusive responsibility regarding its accuracy and validity. Termination of Related Agreements <\/strong><\/p>\n\n\n\n In cases where the fee is covered wholly or partially by credit granted to the Member, either by the Gym or by a bank pursuant to an agreement between the bank and the Gym, then, should the Member exercise the right of withdrawal or terminate the contract, they may also terminate the credit agreement by submitting a written notice to the bank, which is obliged to release the Member from any remaining liabilities associated with credit card payments for services not rendered. In the event of withdrawal or termination of the contract by the Member, in accordance with articles 12 and 13 of this agreement, the Gym shall, within thirty (30) calendar days of receipt of such notice, either refund any amounts collected in excess of the services rendered or release the Member from payment obligations for installments or remaining balances related to the credit card that do not correspond to the services actually provided. It is noted that, according to article 4, paragraph 3 of Decision Z1-1262\/2007 (Government Gazette B\u2019 2122\/2007), if the fee is wholly or partially covered by credit granted to the Member by a bank pursuant to an agreement between the bank and the Gym, and the Gym becomes insolvent or ceases operations for any reason during the validity of the agreement, then the creditor bank may only claim from the Member the fee for the services actually provided up to the time when the services could have been rendered.<\/p>\n\n\n\n 19.
